These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and CTIM AI ("Service Provider," "we," "us," or "our") governing your access to and use of the CTIM AI platform, including all associated application programming interfaces, dashboards, documentation, and related services (collectively, the "Service"). By registering for an account, accessing the API endpoints, or otherwise utilizing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the Service.


1. Definitions and Interpretation

1.1 In these Terms, the following terms shall have the meanings ascribed below, unless the context otherwise requires:

  • "API" means the application programming interface provided by the Service, including all endpoints, methods, and associated functionality accessible via the designated base URL.
  • "API Key" means the unique authentication credential issued to a User for the purpose of accessing and utilizing the Service, which serves as both an identifier and access control mechanism.
  • "Customer Content" means any data, information, prompts, queries, or other materials submitted by or on behalf of a User to the Service for processing through the API.
  • "Documentation" means all technical documentation, guides, specifications, API references, and related materials made available through the Service website or API endpoints.
  • "Model Provider" means any third-party entity that develops, trains, hosts, or otherwise provides access to artificial intelligence or machine learning models, including but not limited to OpenAI, Anthropic, Google, DeepSeek, and other providers accessible through the Service.
  • "Request" means a single discrete API call made to the Service endpoint, which may result in one or more upstream calls to Model Providers.
  • "Token" means a unit of measurement used to quantify input and output content processed through the Service, generally corresponding to approximately four characters of text or one word.
  • "Upstream Service" means any external service, API, platform, or infrastructure operated by a Model Provider or other third party that the Service relies upon, integrates with, or routes traffic to.

1.2 Headings are for convenience only and do not affect the interpretation of these Terms. References to sections are to sections within these Terms. The singular includes the plural and vice versa. The word "including" means "including without limitation."


2. Scope of Service

2.1 CTIM AI provides a unified API gateway service that enables Users to access multiple Model Providers through a single, standardized interface compatible with industry-standard API specifications. The Service functions as an intermediary routing layer, translating and directing API Requests to appropriate upstream Model Provider endpoints.

2.2 The Service includes the following core capabilities:

  • OpenAI-compatible API endpoint access to multiple Model Provider models and services
  • Anthropic-compatible message API endpoint for Claude model access
  • Real-time model availability status and automatic routing optimization
  • API Key management, including creation, rotation, revocation, and permission scoping
  • Token usage tracking, metering, and reporting dashboards
  • Rate limiting enforcement, quota management, and usage alerting
  • Multi-model failover and fallback configuration support
  • Comprehensive usage analytics and cost attribution reporting
  • Developer documentation, SDK integration guides, and technical support

2.3 The Service operates as a technical infrastructure layer. CTIM AI does not create, develop, train, or host the underlying AI models accessible through the Service. All model-related functionality, output quality, and capability limitations are determined by the respective Model Providers and their applicable terms of service.

2.4 CTIM AI reserves the right to modify, expand, or reduce the set of available models, Model Providers, and features at any time without prior notice. Material changes that reduce the set of available models will be communicated through the Service dashboard and email notification within a commercially reasonable timeframe.


3. Account Registration and Management

3.1 To access the Service, you must register for an account by providing accurate and complete information through the designated registration process. Each account must be associated with a valid email address that you control and have ongoing access to for the duration of the account.

3.2 You are responsible for maintaining the confidentiality and security of your account credentials, including but not limited to login passwords, API Keys, and any other access tokens associated with your account. You agree not to share, distribute, or otherwise disclose your API Keys to unauthorized parties, except as explicitly permitted under these Terms for authorized team members or automated systems under your control.

3.3 You must immediately notify CTIM AI of any unauthorized access to your account or API Keys by contacting the support channels specified in these Terms. CTIM AI will take commercially reasonable steps to secure the affected credentials upon receipt of such notification, though we cannot guarantee that unauthorized access occurred prior to notification will be remediable.

3.4 Account creation is subject to CTIM AI's sole discretion. We reserve the right to decline registration requests, limit the number of accounts per individual or organization, or require additional verification information for accounts that appear to be created for the purpose of circumventing Service limits or policies.

3.5 Each registered account is intended for use by a single organizational entity. If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not have such authority, you must not register or use the Service on behalf of that organization.

3.6 You may not transfer, sell, assign, or otherwise dispose of your account to any third party without the prior written consent of CTIM AI. Account transfers, when approved, may require re-verification of the receiving party's identity and compliance with these Terms.


4. API Key Management and Usage

4.1 Upon account activation, CTIM AI will issue one or more API Keys associated with your account. Each API Key uniquely identifies your account and serves as the primary authentication mechanism for API access. API Keys are non-transferable and must not be embedded in client-side code, public repositories, or any environment where they may be exposed to unauthorized parties.

4.2 You are authorized to create additional API Keys through the Service dashboard or management API, subject to the limits associated with your account tier. You are responsible for managing the lifecycle of all API Keys associated with your account, including their secure storage, rotation, and timely revocation when no longer needed or potentially compromised.

4.3 CTIM AI reserves the right to revoke, suspend, or regenerate any API Key at any time if we reasonably believe the Key has been compromised, is being used in violation of these Terms, or is associated with activity that poses a risk to the Service or other Users. In such cases, we will make commercially reasonable efforts to notify you through the registered email address.

4.4 Each API Key may be subject to specific rate limits, model access restrictions, and usage quotas as determined by your account tier and any applicable enterprise agreements. These limits are documented in the Service dashboard and may be adjusted by CTIM AI with prior notice for upgrades and without prior notice for enforcement purposes.

4.5 You must not attempt to reverse-engineer, decompile, or otherwise extract information from API Keys, nor may you use any automated means to generate, brute-force, or systematically probe for valid API Keys. Such activity constitutes a material breach of these Terms and may result in immediate account termination.

4.6 All API Requests authenticated with a valid API Key will be attributed to the associated account for purposes of billing, usage tracking, and compliance monitoring. You are responsible for all activity conducted under API Keys issued to your account, regardless of whether such activity was authorized by you.


5. Acceptable Use Policy

5.1 You agree to use the Service only for lawful purposes and in a manner consistent with all applicable local, national, and international laws, regulations, and industry standards. You shall not use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service.

5.2 Without limiting the generality of the foregoing, the following categories of use are expressly prohibited:

  • Illegal Content: Generating, processing, or distributing content that violates applicable laws, including but not limited to content that is defamatory, obscene, abusive, threatening, or otherwise unlawful in any relevant jurisdiction.
  • Intellectual Property Violations: Using the Service to infringe upon the intellectual property rights, including copyrights, trademarks, patents, or trade secrets, of any third party. This includes submitting Customer Content that you do not have the necessary rights to process or distribute.
  • Malicious Activity: Attempting to gain unauthorized access to the Service, other Users' accounts, or any connected systems or networks. This includes but is not limited to hacking, phishing, credential stuffing, API scraping beyond documented rate limits, or any form of unauthorized penetration testing.
  • Automated Abuse: Using automated systems, bots, scripts, or other programmatic means to access the Service in a manner that creates excessive load, circumvents rate limits, or interferes with the normal operation of the Service or upstream systems.
  • Data Exfiltration: Attempting to extract, scrape, or aggregate model weights, training data, system prompts, or other proprietary information belonging to Model Providers or CTIM AI through the Service interface.
  • Spam and Unsolicited Communications: Using the Service to generate or distribute spam, unsolicited bulk communications, or any content designed to deceive, mislead, or defraud recipients.
  • High-Risk Applications: Deploying the Service in safety-critical or high-risk applications, including but not limited to autonomous vehicle control, medical diagnosis or treatment decisions, financial trading systems, or any context where model errors could reasonably result in death, serious bodily injury, or significant property damage, unless explicitly authorized in writing by CTIM AI.
  • Regulated Activities: Using the Service for activities that are subject to regulatory compliance requirements (such as financial services, healthcare, or legal advice) without ensuring that your use of the Service and any outputs generated comply with all applicable regulatory obligations.

5.3 CTIM AI reserves the right to investigate and take appropriate action against any suspected violation of this Acceptable Use Policy, including but not limited to suspending or terminating the offending User's access to the Service, removing or blocking access to specific content, and cooperating with law enforcement authorities.

5.4 Users are encouraged to report suspected violations of this policy by contacting support@ctimsoft.com. Reports will be reviewed promptly and handled in accordance with our internal review procedures.


6. Service Levels and Availability

6.1 CTIM AI will use commercially reasonable efforts to maintain the availability and performance of the Service. We aim to achieve a service availability rate of not less than ninety-nine percent (99%) on a monthly basis, measured at the gateway layer excluding any downtime attributable to Model Provider outages or maintenance windows.

6.2 Scheduled maintenance will be announced at least forty-eight (48) hours in advance through the Service dashboard, email notification, and the designated status page when available. Emergency maintenance required to address security vulnerabilities or critical failures may be performed with shorter or no advance notice, and CTIM AI will make commercially reasonable efforts to minimize the impact of such maintenance on User access.

6.3 The Service availability target does not apply to downtime or service degradation caused by the following circumstances:

  • Outages, failures, or performance degradation of Model Provider services or upstream infrastructure
  • Internet connectivity issues, network disruptions, or failures in telecommunications infrastructure not operated by CTIM AI
  • User-side configuration errors, including but not limited to incorrect API Key usage, malformed requests, or client application errors
  • Force majeure events as described in Section 16 of these Terms
  • Security incidents or attacks that require immediate mitigation measures
  • User's use of the Service in excess of contracted rate limits or quotas

6.4 CTIM AI does not guarantee the uninterrupted or error-free operation of any specific AI model or Model Provider accessible through the Service. Model availability, response times, and output quality are subject to the operational status and policies of the respective Model Providers.

6.5 Users are encouraged to implement appropriate error handling, retry logic, and fallback mechanisms in their applications to gracefully handle temporary service disruptions or model unavailability.


7. Billing, Payments, and Refunds

7.1 The Service operates on a prepaid, usage-based billing model. Charges are calculated based on the actual volume of tokens processed through the Service, with input and output tokens priced separately according to the published rate schedule for each model and provider combination.

7.2 The current rate schedule for all available models is published on the Service pricing page and is subject to change. Price changes for existing models will be communicated to Users at least seven (7) days in advance through the Service dashboard and email notification. New models or Model Providers may be added with pricing that takes effect immediately upon availability.

7.3 Users must maintain a positive account balance to access the Service. When the account balance reaches zero, API access will be suspended until sufficient funds are added. CTIM AI will make commercially reasonable efforts to notify Users of low balance conditions through the Service dashboard and email notification before suspension occurs.

7.4 All fees are quoted and payable in the currency specified on your account, unless otherwise agreed in writing. Users are responsible for all applicable taxes, duties, and charges, excluding taxes on CTIM AI's net income. If you are exempt from any tax, you must provide appropriate exemption documentation before the exemption takes effect.

7.5 Prepaid balances are non-refundable, except as may be required by applicable law or as specifically agreed in writing for enterprise accounts. Upon account termination for cause by CTIM AI, any remaining balance may be forfeited at CTIM AI's discretion, subject to applicable legal requirements.

7.6 CTIM AI may offer promotional credits, trial allowances, or discounted pricing for qualifying Users at its sole discretion. Such promotional offers are subject to specific terms, expiration dates, and usage restrictions as communicated at the time of issuance and do not create ongoing entitlements.

7.7 Usage is metered in real-time based on token counts reported by Model Provider responses. CTIM AI uses commercially reasonable efforts to ensure accurate metering, but acknowledges that minor discrepancies may occur between reported usage and actual token counts due to rounding, encoding differences, or upstream reporting variations. Such discrepancies, if less than one percent (1%) of total monthly usage, shall not constitute a billing error requiring adjustment.

7.8 Enterprise accounts may be eligible for custom pricing, volume discounts, or invoiced billing terms subject to a separate written agreement. Such agreements will specify the applicable rates, payment terms, minimum commitments, and any additional terms governing the enterprise relationship.


8. Data Processing and Privacy

8.1 CTIM AI is committed to protecting the privacy and security of User data. Our data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy is available at /privacy and is periodically updated to reflect changes in our practices and applicable legal requirements.

8.2 Customer Content — the data, prompts, queries, and materials you submit to the Service — remains your property. CTIM AI claims no ownership rights over Customer Content. We process Customer Content solely for the purpose of fulfilling your API Requests and providing the Service to you.

8.3 CTIM AI does not use Customer Content to train, fine-tune, or improve our own AI models or services. Customer Content is not shared with Model Providers for the purpose of model training, except as may be inherently required by the Model Provider's own service terms, which Users are encouraged to review independently.

8.4 Usage metadata — including API Request timestamps, token counts, model identifiers, and response latency measurements — is collected and retained for the purposes of billing, usage analytics, service optimization, and abuse detection. This metadata is considered part of our operational records and is retained for a period consistent with our data retention policy.

8.5 Personal data collected during account registration and management is processed in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect personal data against unauthorized access, accidental loss, alteration, or destruction.

8.6 Users are responsible for ensuring that their use of the Service and any Customer Content they submit complies with all applicable data protection and privacy laws, including obtaining any necessary consents from data subjects whose personal data may be included in Customer Content.


9. Intellectual Property Rights

9.1 CTIM AI retains all right, title, and interest, including all intellectual property rights, in and to the Service, including but not limited to the API gateway software, routing algorithms, dashboard interfaces, Documentation, branding, trade names, and any other materials made available by CTIM AI in connection with the Service. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own lawful purposes in accordance with these Terms.

9.2 You retain all right, title, and interest in and to your Customer Content. No transfer of ownership of Customer Content is effected by your use of the Service. You grant CTIM AI a limited license to use, reproduce, and process Customer Content solely to the extent necessary to provide the Service to you, including routing your Requests to appropriate Model Providers and generating usage reports.

9.3 The Service may incorporate or utilize software components and libraries licensed under open-source licenses. Such components remain subject to their respective open-source license terms, which are available upon request and do not alter the proprietary nature of the Service as a whole.

9.4 You agree not to copy, modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works of the Service or any part thereof, except to the extent that such restriction is expressly prohibited by applicable law. You may not remove, alter, or obscure any proprietary notices, labels, or marks on the Service or Documentation.

9.5 All trademarks, service marks, trade names, and logos associated with the Service ("CTIM AI Marks") are the exclusive property of CTIM AI or its licensors. You are granted a limited, revocable license to use CTIM AI Marks solely for the purpose of identifying the Service as the source of your API integration, in a manner consistent with our brand guidelines. All goodwill associated with the use of CTIM AI Marks inures to our benefit.

9.6 Model Provider trademarks, logos, and branding accessible through the Service remain the property of their respective owners. References to Model Providers in the Service are made for the purpose of identifying available models and do not imply any endorsement, sponsorship, or affiliation between CTIM AI and Model Providers unless explicitly stated.


10. Security Obligations

10.1 CTIM AI implements industry-standard security measures to protect the Service and User data, including but not limited to encryption of data in transit using TLS 1.2 or higher, secure storage of API Key credentials using cryptographic hashing, regular security assessments, and access controls limiting internal access to User data on a need-to-know basis.

10.2 In the event of a confirmed security incident that results in unauthorized access to or disclosure of User data, CTIM AI will notify affected Users within a commercially reasonable timeframe after confirming the incident, in accordance with applicable legal requirements and industry best practices.

10.3 CTIM AI reserves the right to conduct security assessments of User API access patterns and may implement additional security measures, including but not limited to IP-based restrictions, additional authentication factors, or rate limiting, if we reasonably determine that a User's access patterns pose a potential security risk.

10.4 Users are responsible for implementing appropriate security measures in their own applications and infrastructure, including but not limited to secure storage of API Keys, input validation, output sanitization, and protection against prompt injection attacks. CTIM AI is not responsible for security incidents originating from User-side vulnerabilities.


11. Third-Party Services and Integrations

11.1 The Service integrates with multiple Model Providers and may incorporate third-party services, APIs, libraries, and infrastructure components ("Third-Party Services") to deliver its functionality. Your use of the Service involves the transmission of your Requests to these Third-Party Services, and you acknowledge that such transmissions are subject to the terms and conditions of the respective third parties.

11.2 CTIM AI does not control, endorse, or assume responsibility for the accuracy, availability, security, or practices of any Third-Party Service. Model Providers may have their own terms of service, privacy policies, usage restrictions, and content guidelines that apply to your use of their models through the Service. You are responsible for reviewing and complying with the applicable terms of each Model Provider whose models you access.

11.3 Model Providers may modify their service terms, pricing, availability, or functionality at any time without notice to CTIM AI. Such changes may affect your ability to access certain models or may result in changes to the pricing or functionality available through the Service. CTIM AI will make commercially reasonable efforts to communicate material changes affecting Model Provider availability or terms through the Service dashboard.

11.4 The Service may include links to third-party websites, resources, or services that are not owned or controlled by CTIM AI. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You access such third-party resources at your own risk.

11.5 CTIM AI reserves the right to add or remove Model Providers from the Service at any time. The removal of a Model Provider will not affect your ability to access alternative models through remaining providers, and any unused prepaid balance associated with the removed provider's models will remain available for use with other providers.


12. Service Modifications and Updates

12.1 CTIM AI reserves the right to modify, update, enhance, or discontinue any aspect of the Service at any time, including but not limited to available models, API endpoints, pricing, rate limits, documentation, dashboard features, and support channels. We will provide notice of material changes through the Service dashboard, email notification, or other commercially reasonable means.

12.2 Non-material changes, such as bug fixes, performance improvements, security patches, Documentation updates, and internal infrastructure changes that do not affect API compatibility or User experience, may be made without prior notice.

12.3 Changes to these Terms will be communicated to Users at least fourteen (14) days before the effective date of such changes through the Service dashboard and email notification. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the modifications, your sole remedy is to terminate your account before the effective date.

12.4 API versioning: CTIM AI may introduce new API versions and deprecate older versions over time. Deprecated API versions will be supported for a transition period of not less than six (6) months from the date of deprecation announcement, during which time Users are expected to migrate to the newer version. CTIM AI will provide migration guidance and technical support during the transition period.


13. Suspension and Termination

13.1 Either party may terminate these Terms and the associated Service relationship as follows:

  • By the User: You may terminate your account at any time through the Service dashboard or by written notice to CTIM AI. Upon termination, your API Keys will be immediately revoked, and any remaining prepaid balance will be treated in accordance with Section 7.5.
  • By CTIM AI for Convenience: CTIM AI may terminate or suspend your access to the Service at any time, with or without cause, upon seven (7) days' written notice to your registered email address. In such cases, any remaining prepaid balance will be refunded on a pro-rata basis, unless otherwise agreed.
  • By CTIM AI for Cause: CTIM AI may immediately terminate or suspend your access without prior notice if you materially breach these Terms, including but not limited to violations of the Acceptable Use Policy, unauthorized access attempts, payment failures, or engagement in fraudulent activity.

13.2 CTIM AI reserves the right to temporarily suspend access to the Service or specific API Keys without prior notice if we reasonably determine that such suspension is necessary to prevent imminent harm to the Service, other Users, or third parties, or to comply with legal obligations. Suspension will be lifted as soon as the underlying issue is resolved.

13.3 Upon termination of these Terms for any reason, the licenses granted herein will immediately cease, and you must discontinue all use of the Service and delete any copies of the Documentation in your possession. Provisions that by their nature should survive termination, including but not limited to Sections 7 (Billing), 8 (Data Processing), 9 (Intellectual Property), 14 (Limitation of Liability), and 16 (General Provisions), will survive termination.

13.4 CTIM AI will retain usage data and account records for a period consistent with our data retention policy and applicable legal requirements after termination. You may request export of your usage data before account deletion by contacting our support team.


14. Disclaimers and Limitation of Liability

14.1 The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, CTIM AI disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

14.2 CTIM AI does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any information, results, or outputs obtained through use of the Service. Your reliance on any information or outputs from the Service is at your own risk.

14.3 CTIM AI is not responsible for the content, quality, accuracy, or appropriateness of any outputs generated by Model Providers' AI models. The Service functions solely as a routing and proxy layer and does not modify, validate, or guarantee the outputs produced by upstream models.

14.4 To the maximum extent permitted by applicable law, CTIM AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with these Terms or the Service, regardless of the theory of liability (contract, tort, or otherwise) and even if CTIM AI has been advised of the possibility of such damages.

14.5 In no event shall CTIM AI's aggregate liability arising out of or in connection with these Terms or the Service exceed the total amount paid by you to CTIM AI for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. For Users who have not made any payments, CTIM AI's aggregate liability shall not exceed the amount of one hundred US dollars (USD $100).

14.6 The limitations and exclusions of liability set forth in this Section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for certain types of damages. In such jurisdictions, CTIM AI's liability shall be limited to the maximum extent permitted by applicable law.


15. Dispute Resolution and Governing Law

15.1 These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

15.2 In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiations between designated representatives of each party. If the dispute cannot be resolved through negotiation within thirty (30) days of written notice, either party may pursue the remedies available under this Section.

15.3 Any dispute not resolved through negotiation shall be submitted to binding arbitration in accordance with the applicable arbitration rules of the relevant jurisdiction. The arbitration shall be conducted by a single arbitrator, and the proceedings shall be held in the jurisdiction agreed upon by the parties. The arbitrator's decision shall be final and binding and may be entered in any court of competent jurisdiction.

15.4 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the unauthorized use of intellectual property or to enforce confidentiality obligations, without the need to first pursue arbitration.

15.5 Each party waives any right to a jury trial in any action arising out of or related to these Terms or the Service. The parties agree that any class action or representative action claims are waived, and each party shall pursue claims on an individual basis only.


16. General Provisions

16.1 Force Majeure. Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) to the extent that such failure or delay is caused by events beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labor disputes, network or utility failures, or widespread outages of internet service providers.

16.2 Entire Agreement. These Terms, together with the Privacy Policy and any applicable enterprise agreement or order form, constitute the entire agreement between the parties with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

16.3 Severability. If any provision of these Terms is held by a court of competent jurisdiction or arbitral tribunal to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16.4 Waiver. No failure or delay by CTIM AI in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. Any waiver must be in writing and signed by an authorized representative of CTIM AI.

16.5 Assignment. You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without the prior written consent of CTIM AI. Any attempted assignment without such consent shall be null and void. CTIM AI may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of CTIM AI's assets.

16.6 Notices. All notices under these Terms shall be in writing and shall be deemed to have been duly given when delivered personally, sent by registered or certified mail (return receipt requested), or sent by email to the registered email address associated with your account. CTIM AI may update its contact information for notices by posting the updated information on the Service website.

16.7 Language. These Terms are drafted in English. If these Terms are translated into any other language for convenience, the English version shall prevail in the event of any inconsistency or conflict between the English version and any translated version.

16.8 No Third-Party Beneficiaries. These Terms are entered into solely by and between you and CTIM AI and do not create any third-party beneficiary rights in any person or entity, except that Model Providers are intended third-party beneficiaries of the Acceptable Use Policy provisions (Section 5) to the extent those provisions relate to their respective models and services.

16.9 Counterparts. These Terms may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures and click-through acceptance of these Terms shall have the same legal effect as manual signatures.
